This Agreement is made between Motivation-CP Ltd, (Dreams2Reality), a company registered in England and Wales, located at  The Barn, Wotton Road, Iron Acton, Bristol, BS37 9UZ (hereinafter referred to as the ” Service Provider”), and the Client.

This Agreement details the terms and conditions under which coaching and speaking services will be provided.

DEFINITIONS

  • Client: The company or individual to whom the Supplier provides the Services.
  • Supplier: Dreams 2 Reality, The Barn, Wotton Road, Iron Acton, Bristol, BS37 9UZ
  • Services: The provision of a speaker as summarised on the Confirmation of Order.
  • Speaker: The individual engaged to speak as specified in the Confirmation of Order.

SPEAKER OBLIGATIONS

  1. The Speaker shall either contact by telephone or attend a briefing meeting prior to the event date, as required by the Supplier.
  2. The Speaker must perform with due diligence, skill, and care. Failure to meet these standards will render the Speaker liable for damages.
  3. Distribution of promotional material by the Speaker is strictly prohibited unless previously agreed upon in writing.
  4. Exclusive Representation: The Speaker agrees to exclusive representation by Dreams 2 Reality for all speaking engagements. Direct booking inquiries must be referred to the Supplier via office@dreams2-reality.com.
  5. Safeguarding Training: Mandatory online safeguarding training is to be completed by the Speaker to ensure compliance with safety standards.

CLIENT OBLIGATIONS

  1. Provision of a suitable venue and technical requirements for the Speaker, as specified in the Confirmation of Order.
  2. Suitable insurance coverage, including adequate public liability insurance, must be provided by the Client.
  3. Compliance with all statutory regulations and requirements for the venue and event, including fire safety.
  4. Indemnification of the Supplier by the Client against all losses associated with the event, however caused.

PAYMENT TERMS

  • Payment to the Supplier must be received prior to the event however is politely requested to be paid by invoice date. Invoices are sent once services have been outlined and dates are confirmed.
  • Any payments not received in full, prior to the event, will result in failure for the Supplier to deliver services.

CANCELLATION

  • In case of cancellation by the Client, without prior consultation with the Supplier no refund will be provided. 
  • In the instance of a cancellation with prior consultation with the Supplier, and where possible 4 weeks notice has been given, the event will be rescheduled and monies carried over however event must be delivered within the same academic year. 

INSURANCE AND LIABILITY

  • The Supplier commits to covering all necessary insurances for the Speakers, ensuring they are protected during their engagements.

DISPUTE RESOLUTION

  • Any disputes arising under this agreement shall be resolved through mediation or arbitration, as agreed upon by both parties.

CODE OF PRACTICE FOR WORKING WITH CHILDREN

The primary responsibility for the safeguarding of children aged 18 years and under rests with Dreams 2 Reality.

The speaker/ performer/ volunteer agrees to undertake the following in order to assist Dreams 2 Reality in the safeguarding of children attending the Power Day.

The speaker/ performer/ volunteer will ensure that:

• They are aware that should they be confronted with a situation where they may be

alone with a student, priority must be given to seeking the presence of another adult,

but preferably a member of school staff.

• Any issues with students will be reported to Cameron Parker as soon as possible.

• They will use common courtesy, and refrain from using defamatory or offensive

language.

• They will use age-appropriate language for an audience of 14- and 15-year-olds.

AMENDMENTS AND FORCE MAJEURE

  1. Amendments to this agreement require written consent from both parties.
  2. A force majeure clause releases both parties from liability when external, uncontrollable events prevent contractual obligations from being fulfilled.

COMPLIANCE WITH LAWS

  • Both parties agree to comply with all relevant laws and regulations pertaining to the agreement.

AGREEMENT ACCEPTANCE

Acceptance of these terms must be signed by the Speaker and Dreams2Reality, signifying agreement to the conditions herein.
